1. Neptune Design (PTY)Ltd

1.1. Definitions

“Working Day” – means Monday to Friday, excluding public holidays.

 “Normal working hours” – means 9:00am – 5:00pm on a working day.

 “Out of normal working hours” – means time outside of normal working hours.

 “Neptune Design”- means Neptune Design (Pty) Ltd (registration number 2017/335487/07).

“Guarantee Period” – means the period of time for which the Money Back Guarantee is available and is specified further under the Money Back Guarantee clause below. 

2.Service delivery and Improvements

2.1 Neptune Design seeks to ensure that the services provided to its clients are satisfactory at all times and aims to deliver all services with reasonable care and skill.

2.2 In order to improve the services provided, Neptune Design welcomes any comments that any clients may have, to be emailed to [email protected] 

3.Commencement of service

3.1 Website, graphic designing, marketing and coding services will commence only once Neptune Design has received at least 50% deposit of the contracted fee, or the full contracted fee thereof.

3.2 All support services will commence only once the full contracted fee is received by Neptune Design.

4.Payment 

4.1 Neptune Design shall invoice the client before the service provided is completed. All payments to Neptune Design for services shall be made against the invoice which shall be presented during or after the period of the provision of services in respect to the services provided by Neptune Design.

4.2 All payments must be paid by the date specified on the invoice for payment due. If payment is not made by the due date specified on the invoice, Neptune Design will be entitled to charge interest on the outstanding balance

5.Interest

5.1 Neptune Design shall be entitled to charge interest at the rate of 5% per month on all overdue amounts outstanding for more than 30 days from the date specified on the invoice.

5.2 Neptune Design also reserves the right to increase the interest rate, in which the client will be notified of such an increase at least 30 days before it is due.

5.3 Interest will be calculated on a monthly basis.

6.Overtime

6.1 All clients must note that Neptune Design’s working hours are as follows:

Monday – Friday: 9:00am – 5:00pm

Saturday: Closed

Sunday: Closed

Public Holidays: Closed

6.2 The following conditions apply to all forms of communication:

Any communication, including queries, correspondence and work done out of normal working hours will be charged at an additional rate of R450.00 (FOUR HUNDRED AND FIFTY RAND) per hour.

6.3 All clients who do not have support contracts or whose support contracts have expired must note further that:

6.5 Any communication, as mentioned above, done out of normal working hours will be charged at an additional rate of R450.00 (FOUR HUNDRED AND FIFTY RAND) per hour.

7.Social Media Marketing Lead Generation

7.1 All clients who use this service must have a registered business. 

7.2 Any work relating to this marketing campaign will only commence once funds have been cleared and received in our bank account. Clients will be notified when such work will commence. Please note further that proof of payments will not be sufficient in this regard, unless the payment has been instructed to reflect immediately by the payer’s bank.

7.3 It is the client’s duty to ensure that they have the necessary commercial rights to use any images, documentation or media supplied to Neptune Design for the marketing campaign.

7.4 All leads received by any client are confidential and must be respected and treated as such. Clients cannot resell the information provided in the leads nor can they harass the subjects of the leads nor use the leads details for any other purpose other than for communication regarding the product for which they have originally enquired about.

7.5 Neptune Design is not obliged to handover any designs or web pages created for the purpose of collecting leads. All designs will be stored or destroyed on completion/cancellation of the marketing campaign.

7.6 Neptune Design will dispose of all lead information within 60 days from the date of commencement as specified in 7.2 above. It is the responsibility of the client to record this information. 

7.7 The client will also bare any liability if there is any abuse of any private information.

7.8 All leads will be supplied during “normal working hours” as indicated in the definitions above.

7.9 Neptune Design does not qualify leads via a call centre or through telephonic scripting, all our business processes are automated. By using the service you acknowledge this process. 

7.10 Neptune Design has the right to cancel any marketing campaign by giving 30 days notice, due to unethical behaviour by the client, industries that create a negative brand association or the marketing campaign no longer being profitable to market forces. 

7.11 Neptune Design does not guarantee sales from any leads and this is not a ground for a refund under our money back guarantee clause provided below.

8.Money Back Guarantee

The following restrictions apply to products which specifically are covered by the money back guarantee. Please note further that any non-compliance of these conditions will render the guarantee void.

8.1. The money back guarantee on the Social Media Marketing Lead Generation campaign will be valid only for the Guarantee Period which is subject to a maximum period of 30 days. No refund claims outside of this period will be considered.

8.2 The Guarantee Period will commence monthly after payment has been received by us, and at such time the client will be notified when the campaign has commenced. The client will be eligible to claim their money back when such notification is received by them. 

8.3 In order for the client to claim their money back, they must simply submit an email to [email protected] indicating their intentions and reasons for claiming their money back, with their company’s full banking details.

8.4 Any refund by Neptune Design will take up to 10 working days from the date the email was received as referred to in 8.3 above. Such refund will be effected via EFT to either the original client company or the owners of the client company whose banking details will be provided as referred to in 8.3 above. 

8.5 Neptune Design reserves the right to forfeit the guarantee if we suspect any abuse of our money back guarantee offer.

9.Privacy Policy

 9.1 All privacy policies supplied will be in line with the General Data Protection Regulations and is, however, just a basic generic policy. 

 9.2 Neptune Design advises clients to seek professional legal counsel to ensure that the privacy policy provided is fully compliant and in accordance with the laws in the country in which it operates and applies to.

10.Termination

10.1 Cancellation or termination of any service provided/undertaken by Neptune Design may be made at any time subject to the following conditions:

10.2 Should any client cancel their contract before its mid-term is reached, such client shall be entitled to receive 50% of the contracted fee, already paid by such client.

10.3 In respect of all support contracts, 50% of the full contracted fee paid; and 

10.4 In respect of websites, graphic designing or coding services, 50% of the deposit or the full contracted fee already paid by such client.

11.Hosting

11.1 All hosting contracts will be paid in advance before any hosting commences.

11.2 Should any hosting invoice due be unpaid the account will immediately be placed into suspension.The suspension will only be lifted once a minimum reconnection fee of R500 (Five Hundred Rand) is paid this fee can also be increased if the invoice is due for longer than 30 days.

11.3 A Migration fee of R476 (Four Hundred And Seventy Six Rand) will be charged to all clients who wish to move their hosting account to another hosting provider.

11.4 In the event that a client’s domain should expire because of failure to pay the domain renewal fee ownership of that domain will be immediately relinquished. After being relinquished any domain registrar will be able to resell the domain at a price they wish. Neptune Design (Pty) Ltd will under no circumstances guarantee the price of a domain that has been relinquished.

12.General

12.1 All queries related to support are to be emailed to [email protected] This includes, but is not limited to, website; email; hosting; branding; and marketing support queries. 

12.2 All contracts for the provision of services provided by Neptune Design shall be deemed to incorporate these terms and conditions, which shall prevail over any other terms from the client.

12.3 All aforementioned prices will be transferred to the equal amount in currency of the country or territory which the client resides in.

12.4 Neptune Design reserves the right to update and make changes to these terms and conditions at any time without prior consent of its clients or any other third party involved.

13.  The Feedback Circle – Google Ads Online Training Community

These Terms of Service (“Terms”) govern your use of The Feedback Circle website and services (collectively referred to as the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not access the Service.

13.1. Membership:

13.1.1 Eligibility: To access and use the Service, you must be at least 18 years old or have the consent of a parent or guardian. By accessing or using the Service, you represent and warrant that you meet these eligibility requirements.

13.1.2 Registration: In order to access certain features of the Service, you may be required to register and create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to maintain its accuracy.

14.Membership Duration:

14.1 Term of Membership: Upon registration and payment of subscription fees, your membership with our community will be effective for the duration of the selected subscription term (e.g., yearly or monthly).

14.2 Continuation of Membership: Members will remain part of our community until the end of their current subscription term, unless otherwise cancelled in accordance with Section 7 (Cancellation) of these Terms.

14.3 No Refunds: Except as otherwise provided in these Terms or required by applicable law, we do not provide refunds or credits for any partial membership periods or unused portions of subscription fees.

15.Content Sharing:

15.1 Permission to Share: By participating in our community, you grant us permission to share any information, posts, or content you contribute to the community’s feed or challenges. This includes but is not limited to comments, questions, feedback, and submissions related to Google Ads training.

15.2 Ownership: You retain ownership of any content you share in the community. However, by posting content, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content worldwide in any media

16.Community Guidelines:

16.1 Respectful Behaviour: You agree to engage with other members of the community in a respectful and courteous manner. Harassment, hate speech, bullying, or any form of discrimination will not be tolerated.

16.2 Intellectual Property: You acknowledge that all content provided through the Service, including but not limited to training materials, videos, and written content, is the intellectual property of The Feedback Circle or its licensors. You agree not to reproduce, distribute, modify, or create derivative works based on such content without prior written consent.

16.3 Compliance with Policies: You agree to comply with all applicable laws and regulations, including but not limited to Google’s advertising policies, while using the Service.

17. Training Materials:

17.1 Access to Training Materials: The Feedback Circle provides access to training materials and resources for beginners in Google Ads. These materials are provided for educational purposes only and do not constitute professional advice.

18. Limitation of Liability:

18.1 No Warranty: The Service is provided on an “as-is” and “as-available” basis, without any warranties of any kind, express or implied. The Feedback Circle disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

18.2 Limitation of Liability: To the maximum extent permitted by law, The Feedback Circle shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Service; (b) any conduct or content of any third party on the Service; or (c) unauthorised access, use, or alteration of your transmissions or content.

19. Termination:

19.1 Termination by The Feedback Circle: The Feedback Circle reserves the right to terminate or suspend your access to the Service at any time, with or without cause, and without prior notice or liability.

19.2 Termination by User: You may terminate these Terms at any time by ceasing to use the Service and closing your account.

20. Additional Promise:

Get better ad results in 90 days or your next month is completely FREE!!

We are committed to delivering effective advertising solutions tailored to your needs. If you do not see noticeable improvements in your ad results within 90 days of implementing our services, we guarantee your next month’s service free of charge. (Terms and conditions apply. See Section 8.4)

20.1 Terms and Conditions for Promise:

20.1.1 Eligibility: This promise is applicable to clients who have subscribed to our training/ learning services for a minimum of 90 days.

20.1.2 Evaluation of Results: Ad performance will be assessed using Key Performance Indicators (KPIs) like Cost per Lead, Cost per Sale, Increase in Leads, Increase in Sales, or Reduction in advertising costs. In the absence of accurate conversion tracking data from the 90 days preceding the program start, free month qualifications will not be granted.

20.1.3 Free Month of Service: If the client does not observe significant improvements in their ad performance within the 90-day period, they are eligible for a free month of service.

20.1.4 Application of Free Month: The free month of service will be applied to the client’s account immediately following the conclusion of the 90-day period.

20.1.5 Discretion: This offer is subject to review and may be modified or revoked at the discretion of The Feedback Circle.

20.1.6 Other Terms: Other terms and conditions may apply.

21. Miscellaneous:

21.1 Modification of Terms: The Feedback Circle reserves the right to modify or revise these Terms at any time. Any changes will be effective immediately upon posting the revised Terms on the Service. Your continued use of the Service after the posting of the revised Terms constitutes your acceptance of such changes.

21.2 Governing Law: These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law principles.

21.3 Entire Agreement: These Terms constitute the entire agreement between you and The Feedback Circle regarding your use of the Service and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and The Feedback Circle regarding the subject matter herein.

22.Cancellation:

You may cancel your membership with The Feedback Circle at any time by providing written notice to us via email or through the account settings on the website. Upon cancellation, you will lose access to any future training materials, resources, or community features available through the Service. Any outstanding payments or fees owed to us at the time of cancellation will remain due and payable. No refunds or credits will be provided for any partial membership periods or unused portions of subscription fees.

23. Ownership:

The Feedback Circle is owned by Neptune Design (PTY) Ltd. By accessing or using The Feedback Circle service, you acknowledge that you are also in agreement with the terms and conditions of Neptune Design (PTY) Ltd.

24. Profitable PPC Course by Neptune Design (PTY) Ltd

These terms and conditions (“Terms”) govern your participation in the Profitable PPC course (“Course”) offered by Neptune Design (PTY) Ltd (“Neptune Design”, “we”, “us”, or “our”). By enrolling in the Course, you agree to be bound by these Terms. Please read them carefully.

24.1Enrollment and Payment:

24.1.1. Enrollment in the Course is completed upon payment of the required fees, as specified by Neptune Design.

24.2.1. All fees are non-refundable unless otherwise stated in our refund policy.

25.Course Content:

25.1. The Course content, including but not limited to lectures, videos, materials, and exercises, is owned by Neptune Design and is for your personal use only.

25.2. You may not distribute, share, or resell any Course materials without prior written consent from Neptune Design.

26.Intellectual Property:

26.1. All intellectual property rights in the Course content and materials remain the property of Neptune Design.

26.2. You agree not to reproduce, modify, or create derivative works based on the Course content without prior written permission from Neptune Design.

27.Participant Conduct:

27.1. You agree to conduct yourself in a professional and respectful manner during the Course.

27.2. You will not engage in any conduct that may disrupt the learning experience of other participants.

28.Disclaimer of Warranties:

28.1. Neptune Design makes no warranties or representations about the accuracy or completeness of the Course content.

28.2. The Course content is provided on an “as is” basis, without any warranties, express or implied.

29.Limitation of Liability:

29.1. In no event shall Neptune Design be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with your participation in the Course.

29.2. Neptune Design‘s total liability under these Terms shall not exceed the amount paid by you for the Course.

30.Termination:

30.1. Neptune Design reserves the right to terminate your enrollment in the Course at any time for violation of these Terms or for any other reason deemed appropriate by Neptune Design.

30.2. In the event of termination, you will not be entitled to any refund of fees paid.

31.Governing Law and Jurisdiction:

31.1. These Terms shall be governed by and construed in accordance with the laws of South Africa.

31.2. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.

32.Changes to Terms:

32.1. Neptune Design reserves the right to modify or update these Terms at any time.

32.2. Any changes to these Terms will be effective immediately upon posting on the Neptune Design website.

33. Money Back Guarantee:

33.1. Neptune Design offers a money back guarantee subject to the following conditions:

33.1.1. You qualify for a refund only if you can provide evidence that you have diligently implemented every strategy taught in the Course within the specified timeframe.

33.1.2. You must demonstrate that despite implementing these strategies, there has been no improvement in your advertising results.

33.1.3. Failure to provide evidence of full implementation of Course strategies will result in the forfeiture of any refund from Neptune Design.

33.2. Requests for refunds must be submitted in writing to Neptune Design within 12 months of completing the Course.

33.3. Neptune Design reserves the right to evaluate refund requests on a case-by-case basis and may require additional information or evidence to process the refund.

33.4. Refunds will be issued using the same payment method used for the original purchase, unless otherwise agreed upon by Neptune Design.

33.5. The decision to grant a refund is at the sole discretion of Neptune Design and is final.

By enrolling in the Profitable PPC Course, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional terms and conditions provided by Neptune Design. If you do not agree to these Terms, you may not enrol in the Course. By enrolling in the Profitable PPC Course and requesting a refund, you further agree to abide by the conditions outlined in this Money Back Guarantee clause.

34.Google Ads One-on-One Consulting Calls by Neptune Design (PTY)Ltd

These terms and conditions (“Terms”) govern your participation in One-on-One Consulting Call (“Consulting Call”) offered by Neptune Design (PTY)Ltd (“Neptune Design”, “we”, “us”, or “our”). By scheduling and participating in the Consulting Call, you agree to be bound by these Terms. Please read them carefully.

34.1.Consulting Call Description:

34.1.1. The Consulting Call involves one-on-one sessions between you and a Google Ads expert from Neptune Design.

34.2.1. The purpose of the Consulting Call is to provide personalised advice, guidance, and strategies related to Google Ads campaigns.

35.Scheduling and Payment:

35.1. Consulting Call must be scheduled in advance through the designated booking system provided by Neptune Design.

35.2. Payment for the Consulting Call is required at the time of booking, as specified by Neptune Design.

35.3. All fees for Consulting Call are non-refundable unless otherwise stated in our refund policy.

36.Participant Responsibilities:

36.1. You are responsible for providing accurate and complete information about your Google Ads campaigns and objectives prior to the Consulting Call.

36.2. You agree to actively participate in the Consulting Call and to follow any recommendations or strategies provided by the Neptune Design consultant.

37.Consultant Obligations:

37.1. Neptune Design will provide a qualified consultant with expertise in Google Ads for the duration of the Consulting Call.

37.2. The consultant will endeavour to provide relevant and valuable advice tailored to your specific needs and objectives.

38.Limitation of Liability:

38.1. In no event shall Neptune Design be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with your participation in the Consulting Call.

38.2. Neptune Design‘s total liability under these Terms shall not exceed the amount paid by you for the Consulting Call.

39.Termination and Rescheduling:

39.1. Neptune Design reserves the right to terminate or reschedule Consulting Call at its discretion, with reasonable notice provided to you.

39.2. In the event of termination or rescheduling initiated by Neptune Design, you will be entitled to a full refund of any fees paid for the affected Consulting Call.

40.Governing Law and Jurisdiction:

40.1. These Terms shall be governed by and construed in accordance with the laws of South Africa.

40.2. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.

41.Changes to Terms:

41.1. Neptune Design reserves the right to modify or update these Terms at any time.

41.2. Any changes to these Terms will be effective immediately upon posting on the Neptune Design website.

By scheduling and participating in the Google Ads One-on-One Consulting Call, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not schedule or participate in the Consulting Call.
